MEMBERSHIP AGREEMENT, LIABILITY WAIVER, & PRIVACY POLICY

Welcome to the Shiloh Fitness community!

Please read this agreement carefully before signing or using our facilities, programs, or services.

This agreement applies to all members, guests, day pass holders, week pass holders, trial users, personal training clients, class participants, event participants, and other individuals using Shiloh Fitness facilities, programs, or services, whether on-site or off-site.

1. Membership Terms

• Billing & Renewal: Memberships are billed on the 1st of each month and automatically renew until canceled in accordance with this agreement.

• Membership Cancellation: Members may cancel at any time. Except as otherwise required by applicable law or expressly provided in this agreement, no refunds or prorated credits will be issued for unused days in the current billing period. All cancellations remain subject to the applicable terms and statutory rights outlined in the Cancellation and Refund Notice below.

• Family Memberships: All members under 16 years of age must be supervised by an adult member at all times.

• Guest Access: Day pass holders, week pass holders, trial users, and other guests must agree to applicable facility rules and sign this waiver before participating.

2. Member Referral Rewards Program

Shiloh Fitness rewards members who help grow our community by referring new members to the facility.

Eligibility & Rewards

• Referral Reward: Members earn a one-time 10% discount toward their next eligible membership payment for each successful referral.

• Eligible Memberships: Referral rewards are available exclusively to members enrolled in Core, Core Family, Premium, or Premium Family membership plans.

• Referral Registration: New members must identify the referring member during initial registration for the referral to qualify.

• Family Memberships: Each new family membership constitutes one qualifying referral, regardless of the number of individuals enrolled. Additional family members do not generate separate referral rewards. Rewards associated with family memberships are applied to the primary account holder's eligible membership payment.

• Active Membership Requirement: The referred member must maintain an active membership when the reward is processed. Canceled or inactive memberships do not qualify.

Reward Application

• Automatic Processing: Qualifying referral rewards are automatically applied to the referring member's next scheduled eligible membership payment.

• Multiple Referrals: Members may earn rewards for multiple successful referrals. Rewards are processed in the order received, with total discounts limited to 100% of the scheduled payment.

• Unused Rewards: Additional unprocessed referrals carry forward to subsequent scheduled payments. Any unused portion of a partially applied reward is forfeited.

• Restrictions: Referral rewards have no cash value, are nontransferable, and cannot be redeemed for cash, merchandise, personal training, or other services.

Program Terms

Shiloh Fitness reserves the right to verify referral eligibility, investigate suspected misuse, and modify, suspend, or discontinue the referral rewards program at its discretion. Changes will apply prospectively and will not revoke rewards already earned.

Participation in the referral rewards program does not alter or supersede the terms of this Membership Agreement.

3. Rules & Code of Conduct

All members and guests agree to:

• Treat others with respect. Harassment, discrimination, threatening conduct, and disruptive behavior are prohibited.

• Wear appropriate athletic attire and footwear while using the facility.

• Ensure children under 16 are supervised by an adult member at all times.

• Use equipment safely and follow all posted instructions and staff directions.

• Return equipment to its designated location after use.

• Respect facility operating hours and restricted-access areas.

• Report damaged equipment, unsafe conditions, or injuries to Shiloh Fitness staff promptly.

Sauna Access

Sauna use is restricted to members 18 years of age or older, unless prior written authorization is granted by Shiloh Fitness management.

Any approved minor sauna use requires written parent or legal guardian consent and compliance with all applicable sauna safety requirements.

Sauna access is subject to membership eligibility, availability, posted rules, and completion of the separate Shiloh Fitness Sauna Use Agreement & Liability Waiver.

Shiloh Fitness reserves the right to update facility rules and restrict or revoke access for violations of facility policies.

4. Payment Authorization

I authorize Shiloh Fitness LLC to charge my designated payment method for applicable membership fees, personal training services, class registrations, retail purchases, and other purchases or fees that I expressly authorize.

Recurring membership fees will be automatically charged on the 1st of each month until my membership is canceled in accordance with this agreement. Other recurring charges, if separately authorized, will be processed according to their applicable billing terms.

I understand that eligible discounts, promotional credits, and referral rewards may be automatically applied to qualifying membership payments in accordance with Shiloh Fitness policies.

I agree to maintain a valid payment method on file and understand that failed or declined payments may result in temporary suspension of membership privileges until the outstanding balance is resolved.

5. Liability Waiver & Release

I, {name}, acknowledge and agree to the following:

• Voluntary Participation: I voluntarily participate in activities at Shiloh Fitness, located within the Global Spheres Center (GSC), and understand that participation is at my own discretion.

• Assumption of Risk: I understand that exercise, personal training, group fitness classes, specialty programs, events, equipment use, facility use, and sauna use involve inherent risks, including physical injury, illness, property damage, and potentially serious or fatal injury.

• Personal Responsibility: I accept responsibility for exercising within my abilities, following safety instructions, and determining whether I am physically capable of participating in any activity.

• Medical Considerations: I understand that Shiloh Fitness does not provide medical advice and that I should consult a qualified healthcare professional before participating if I have medical concerns or conditions that could affect my safety.

• Release of Liability: To the fullest extent permitted by applicable law, I voluntarily assume the risks associated with participation and release and hold harmless Shiloh Fitness LLC, its affiliates, parent companies, subsidiaries, managers, members, officers, employees, contractors, agents, landlords, property owners, and facility partners, including Harvest Ventures LLC of Texas, Global Spheres Center, and Glory of Zion International Ministries, Inc. (GZI), from claims, demands, damages, injuries, losses, or liabilities arising from or related to my participation or use of the facilities, except as otherwise prohibited by law.

6. If the Member Is a Minor (Under 18)

By signing this agreement on behalf of a minor, I certify that I am the minor's parent or legal guardian and have the legal authority to consent to their participation.

I understand and agree that:

• Supervision: All minors under 16 must be supervised by an adult member at all times.

• Sauna Access: Sauna use is prohibited for anyone under 18, unless Shiloh Fitness management grants prior written permission. Approved minor sauna use requires parent or guardian consent and compliance with all applicable safety guidelines.

• Personal Training Eligibility:

• Ages 12–15: Participation requires parent or guardian presence and trainer approval.

• Ages 16–17: Participation requires parent or guardian consent, which is provided through the signing of this agreement.

• Assumption of Risk: I acknowledge the risks associated with the minor's participation and agree to ensure that the minor follows all applicable rules, age restrictions, and staff instructions.

• Parent/Guardian Release: To the fullest extent permitted by applicable law, I release and hold harmless Shiloh Fitness LLC and the other parties identified in Section 5 from claims arising from or related to the minor's participation, except as otherwise prohibited by law.

I understand that applicable law may limit the enforceability of certain waivers or releases involving minors.

7. Photo/Video Release (Optional Opt-Out)

Shiloh Fitness occasionally captures photographs and videos during workouts, classes, programs, and events to promote our services and highlight member achievements.

Unless I indicate otherwise below, I grant Shiloh Fitness permission to use photographs or video recordings depicting me or my minor child taken at the facility or during Shiloh Fitness-sponsored activities for promotional, marketing, or informational purposes, including digital and printed materials.

Media Consent Opt-Out:

I do NOT consent to Shiloh Fitness using photographs, video recordings, or the likeness of me or my minor child for promotional purposes.

I understand that I may update my media preferences at any time by contacting connect@shilohfitness.com.

8. Privacy Policy

Shiloh Fitness respects member privacy and is committed to responsibly handling personal information collected through membership registration, facility access, and participation in our services.

8.1 Information We Collect

We may collect:

• Names, contact information, dates of birth, addresses, and emergency contact information.

• Membership details, billing information, and payment records.

• Communications between members and Shiloh Fitness.

• Photographs and videos, subject to applicable media consent preferences.

8.2 How We Use Information

Member information may be used to:

• Establish, manage, and maintain memberships and facility access.

• Process authorized payments and maintain billing records.

• Communicate operational updates, membership notices, and promotional information.

• Respond to member inquiries and address safety concerns.

• Contact designated individuals in the event of an emergency.

• Promote Shiloh Fitness through authorized photographs and videos.

8.3 Data Storage & Security

• Member information is maintained through our membership management platform, Gymdesk, and other authorized service providers.

• Access to personal information is restricted to authorized personnel and service providers as necessary for legitimate business operations.

• Shiloh Fitness does not sell member personal information.

• Information may be shared with authorized service providers when necessary to administer memberships, process payments, provide services, or comply with applicable legal obligations.

8.4 Member Privacy Rights

Members may:

• Request access to or correction of their personal information.

• Request deletion of personal information, subject to applicable legal, contractual, and record-retention requirements.

• Update their communication and media consent preferences.

8.5 Policy Updates

Shiloh Fitness may update this Privacy Policy periodically. Updated versions will be made available through the member portal or upon request.

9. CANCELLATION AND REFUND NOTICE

TEXAS HEALTH SPA ACT

NOTICE TO PURCHASER: DO NOT SIGN THIS CONTRACT UNTIL YOU READ IT OR IF IT CONTAINS BLANK SPACES.

IF YOU DECIDE YOU DO NOT WISH TO REMAIN A MEMBER OF THIS HEALTH SPA, YOU MAY CANCEL THIS CONTRACT BY MAILING TO THE HEALTH SPA BY MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE DAY YOU SIGN THIS CONTRACT A NOTICE STATING YOUR DESIRE TO CANCEL THIS CONTRACT. THE WRITTEN NOTICE MUST BE MAILED BY CERTIFIED MAIL TO THE FOLLOWING ADDRESS:

IF THE HEALTH SPA GOES OUT OF BUSINESS AND DOES NOT PROVIDE FACILITIES WITHIN 10 MILES OF THE FACILITY IN WHICH YOU ARE ENROLLED OR IF THE HEALTH SPA MOVES MORE THAN 10 MILES FROM THE FACILITY IN WHICH YOU ARE ENROLLED, YOU MAY:

(A) CANCEL THIS CONTRACT BY MAILING BY CERTIFIED MAIL A WRITTEN NOTICE STATING YOUR DESIRE TO CANCEL THIS CONTRACT, ACCOMPANIED BY PROOF OF PAYMENT ON THE CONTRACT TO THE HEALTH SPA AT THE FOLLOWING ADDRESS:

(B) FILE A CLAIM FOR A REFUND OF YOUR UNUSED MEMBERSHIP FEES AGAINST THE BOND OR OTHER SECURITY POSTED BY THE HEALTH SPA WITH THE TEXAS SECRETARY OF STATE. TO MAKE A CLAIM AGAINST THE SECURITY, PROVIDE A COPY OF YOUR CONTRACT TOGETHER WITH PROOF OF PAYMENTS MADE ON THE CONTRACT TO THE TEXAS SECRETARY OF STATE. THE REQUIRED CLAIM INFORMATION MUST BE RECEIVED BY THE SECRETARY OF STATE NOT LATER THAN THE 90TH DAY AFTER THE DATE NOTICE OF THE CLOSURE OR RELOCATION IS FIRST POSTED ON THE SECRETARY OF STATE’S INTERNET WEBSITE.

IF YOU DIE OR BECOME TOTALLY AND PERMANENTLY DISABLED AFTER THE DATE THIS CONTRACT TAKES EFFECT, YOU OR YOUR ESTATE MAY CANCEL THIS CONTRACT AND RECEIVE A PARTIAL REFUND OF YOUR UNUSED MEMBERSHIP FEE BY MAILING A NOTICE TO THE HEALTH SPA STATING YOUR DESIRE TO CANCEL THIS CONTRACT. THE HEALTH SPA MAY REQUIRE PROOF OF DISABILITY OR DEATH. THE WRITTEN NOTICE MUST BE MAILED BY CERTIFIED MAIL TO THE FOLLOWING ADDRESS:

10. Acknowledgment & Signature

By signing below, I acknowledge that:

• I have read and understand this Membership Agreement, Liability Waiver, and Privacy Policy.

• I agree to comply with the membership terms, payment authorization, facility rules, and applicable program policies.

• I understand the inherent risks associated with using Shiloh Fitness facilities and participating in its activities.

• I have reviewed the Cancellation and Refund Notice and understand my rights under applicable Texas law.

• I voluntarily agree to the terms of this agreement.
